Does any have a recommendation.  That is essentially all the server would do.

I'd say a minimal Debian stable (Squeeze) install (http://www.debian.org/CD/netinst/). Though zeroshell does sound interesting.

However, are you aware that many Enterprise/Core/Insert_Buzzword_Here routers and switches can run NTP also? Aside from keeping them in sync too, that's 1 less box/VM you need.
